Office Depot® OfficeMax® Select Terms and Conditions

These terms and conditions (“Terms”) for the Office Depot OfficeMax® Select Program (“Program”) are between you and Office Depot, LLC and/or its affiliates or subsidiaries ("Office Depot", "Us", "We" or “Our”), and govern our respective rights and obligations for the Program. The Terms constitute the entire agreement between you and Office Depot related to the Program. 

Please note that your use of the OfficeDepot.com website is also governed by our Terms of Use (including mandatory arbitration) and Privacy Policy, as well as all other applicable terms, conditions, limitations and requirements on the OfficeDepot.com website, all of which (as changed over time) are incorporated into these Terms. IF YOU ENROLL IN THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND BY PARTICIPATING IN THE PROGRAM, YOU ACCEPT AND AGREE TO COMPLY WITH THESE TERMS. Please read these Terms carefully.

Emails

• Communications about the Program will primarily be communicated by email or on officedepot.com/select. Office Depot OfficeMax Select Members who opt out of receiving promotional/marketing emails from Office Depot OfficeMax will continue to receive emails regarding their account. Office Depot OfficeMax Select Members agree to receive Program communication emails as a condition of being enrolled in the Program.

Membership Eligibility

• The Program is available in the United States (including Alaska and Hawaii), Puerto Rico, and the United States Virgin Islands to customers who have an existing Program account, or create a new Program account, on officedepot.com (“Select Members”, “Members”, “You”, or “Your”). The Program is void outside the 50 United States, Puerto Rico, and the United States Virgin Islands and where prohibited.

• The Program is valid on purchases made in Office Depot® and OfficeMax® stores, by phone, and on officedepot.com only. 

• All Select Members are subject to these Terms regardless of whether they shop online, by phone, or in store.

• The Program is not available to Office Depot Business, formerly ODP Business Solutions, customers making purchases online at officedepotbusiness.com or odpbusiness.com or in Office Depot or OfficeMax stores using Store Purchasing, Store Discount, or Procurement cards.

• Resellers are not eligible to participate in the Program.

• Limit one (1) Program account per member. Membership is not transferable or assignable and is not for resale or auction.

PROGRAM BENEFITS

Price Discounts

• Select Members will be offered price discounts (“Program Discounts”) on an assortment of products, selected in Office Depot’s sole discretion. Products selected for this Program will be designated by a Program icon.

• Select Members must be logged in to OfficeDepot.com at time of purchase or provide their Select Member number, phone number, or email address at checkout in store to receive the Program Discounts and other Program benefits.

• The availability and value of Program Discounts, and the products for which Program Discounts are eligible, are all subject to change.

• Program Discounts are not combinable with any other promotion pricing available in Office Depot® and OfficeMax® stores, by phone, and on officedepot.com only, including, but not limited to, instant savings, coupon savings, free gift offers, and other offers/promotions (a “Promotional Price”), unless otherwise noted. Members will get either the Promotional Price or Office Depot Select Member Program Discount, whichever is the lower price/better value, as determined by Office Depot.

• Gift cards, postage stamps, mail & ship services, subscriptions, and performance protection plans are not eligible for Program Discounts.

Rewards

• Select Members are eligible to earn the following rewards (“Program rewards”)

  • Members earn 2% back in rewards on purchases of everything except the following:
    •  Office Depot Marketplace items;
    • Delivery fees;
    • Postage stamps;
    • Gift or pre-paid cards;
    • Tech, furniture, marketing or administrative services;
    • Any third-party services.
  • Members earn 5% back in rewards on ink and toner; case, ream and photo paper; copy, print and other products/services in store at our copy and print centers excluding the following:
    • Thermal fax paper, 
    • Paper rolls used in adding machines and cash registers, 
    • Postage stamps, 
    • Mailing/shipping services, and 
    • Delivery orders of online purchases of photo products).
  • Program rewards for in-store purchases will be visible in a Member’s account 2 business days after the transaction, and Program rewards for most delivery orders will be visible in 4 business days after the transaction.
  • Program rewards will be paid out monthly as a rewards certificate when a minimum of $3 is earned. Program rewards will expire at the end of each calendar quarter if less than $3 has been earned.
  • Bonus rewards are paid out separately and do not contribute to the calculation of Program rewards (See below for details on bonus rewards)
  • All Rewards are earned on the final price paid at checkout for an item or service, excluding tax and delivery fees, after all discounts are applied and after deducting the value of any free gifts with purchase and the value of any reward and/or merchandise certificates/cards applied to that purchase.
  • Rewards are not earned on returned merchandise.
  • Members must present their membership card, member number, telephone number or email address at check out to earn rewards.
  • If a Member forgets to provide their Member number when making a qualifying purchase, the Member can have the Program rewards credited to their account any time after the purchase, but no later than 3 days after the end of the calendar quarter in which the purchase was made. Log in to the Member account and click the Add a Purchase link or call 1-866-562-3872. The receipt is required.
  • There is no maximum amount of Program rewards that can be earned.
  • Program rewards certificates are available online within 30 days after the end of the calendar month. Members can:
  • Print a reward certificate to present in store for redemption;
  • Access rewards on their smartphone and present in store for redemption; or
  • Ask a cashier to access their rewards through our cash registers at check out in store for redemption.
  • Office Depot reserves the right to issue rewards in any form, including, but not limited to, coupons or merchandise cards ("reward documents").
  • Rewards certificates/documents do not constitute property, do not entitle a Member to a vested right or interest and have no cash value. Rewards certificates/documents are not redeemable for cash, are not transferable and are not assignable for any reason. The sale of rewards certificates/documents is strictly prohibited. The issuance of rewards certificates/documents is final except in the event that a rewards certificate/document has been issued in error. Lost or stolen rewards certificates/documents will not be reissued.

Redemption

• Program rewards certificates/documents are valid for 60 days after the date of issuance.

• All rewards certificates/documents expire at 11:59 PM ET on the date printed on the certificate/document.

• No extensions or exchanges will be allowed for expired rewards.

• Program rewards certificates/documents may be redeemed on purchases (excluding all gift and prepaid cards) at Office Depot or OfficeMax stores in the U.S., Puerto Rico and the U.S. Virgin Islands, online at officedepot.com, and by phone.

• Rewards certificates/documents may be redeemed according to the terms and conditions printed on the rewards document. 

• Rewards certificates/documents cannot be redeemed on items that are on back order on officedepot.com.

Ink and Toner Recycling Rewards 

• Members earn $3 in recycling rewards for each recycled ink or toner cartridge, up to 10 per month, when they make a qualifying $10 purchase in the same month.  Qualifying purchases exclude taxes; delivery fees; postage stamps; gift and prepaid cards; and purchases made with rewards/ merchandise certificates/cards. Recycling rewards are issued separately from Program rewards are paid out the day after the $10 qualifying purchase is met.

• Additional cartridges can be recycled, but rewards will only be earned on the monthly limit of 10.

• We do not accept damaged cartridges for recycling.

• Recycling rewards can be redeemed in accordance with the "Redemption" Section above.

Bonus Rewards Promotions 

• Periodically, Members can earn additional rewards on purchases of select products through bonus rewards promotions. Members are subject to the terms and conditions of each bonus rewards promotion.

• Bonus rewards are issued separately from Program rewards. Most bonus rewards are paid out on the day after the qualifying purchase posts to a Member’s account.

• Some bonus rewards will post to a Member’s account within ten (10) to fifteen (15) days after the expiration date of the promotion. Please review the terms and conditions for each bonus rewards promotion.

• Bonus rewards can be redeemed in accordance with the "Redemption" Section above.

Birthday Rewards

• Select Members who provide their birth month and day in their profile will receive a special offer for their birthday. Members who add their birthday to their account on or after the first day of their birthday month will earn their bonus rewards the day after their birthday was added to their account. Members who change their birthday on their account and have already received their bonus rewards for their birthday sometime in the past 12 months will not receive another birthday reward until their birthday the following year.

Free Delivery

• Select Members within the contiguous 48 U.S. will receive free two business-day delivery on qualifying purchases within our local delivery areas, with no minimum purchase amount required. Customers in Alaska, Hawaii, Puerto Rico, and the United States Virgin Islands will be subject to the standard minimum purchase requirements of Our Free Delivery Terms and Conditions, linked below. Office Depot will determine in its sole discretion which purchases are qualifying purchases eligible for free delivery.  Most furniture, oversized, bulk items, cases of bottled water and other beverages, special order, and custom print items do not qualify. Additionally, marketplace products, which are products sold and shipped by third parties on officedepot.com, are excluded and are subject to the delivery policy of the marketplace seller. Service Coupons

• Upon initial paid enrollment into this Program, Select Members will receive a Fifty Dollar ($50.00) coupon valid only on Print Services (excluding same-day business cards), Pack & Ship services, and Computer Setup and Repair Services.

• Service Coupons are issued upon enrollment into the Program, are valid for one year from the date of enrollment, and will expire on the last day of the 12th month of the initial enrollment period. (For example, if a Select Member enrolls on April 10, the Select Member’s Service Coupon will expire on April 30 of the following calendar year). All Service Coupons in a Select Member’s Account that are not used within the first year will expire and will be forfeited.

Restrictions and Revisions

• Office Depot may terminate a Select Member account for any reason, including if the Select Member violates these Terms. Office Depot reserves the right, in its sole discretion to modify, limit or terminate the Program (or any of its terms) at any time, with or without prior notice and expressly reserves the right to establish additional means of accruing benefits and to delete any or all of the currently recognized benefits, in its sole discretion. Office Depot reserves the right to cancel or limit any purchase or offer redemption made 1) contrary to the corresponding terms of each offer, discount, promotion or coupon; 2) that otherwise is not in compliance with the Terms of the Program or the OfficeDepot.com Terms of Use; 3) that violates any applicable state and federal law; or 4) that Office Depot believes is fraudulent or made through improper channels.

• Office Depot may revise these Terms by posting an updated version. By participating in this Program, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the current Terms to which you are bound. You agree that in the event any portion of these Terms is found to be unenforceable, the remainder of these Terms shall remain in full force and effect.

General

• Select Members are responsible for taxes, charges or other liabilities related to or resulting from their participation in the Program. A Select Member may cancel their participation in the Program at any time by calling Member services at 1-888-313-4851 or by logging into your Office Depot OfficeMax online account and visiting the My Account page to adjust your membership settings.

• Office Depot assumes no responsibility for errors caused by incorrect Select Member information.

• While Office Depot makes every effort to provide accurate information, inaccuracies or errors may occur. Office Depot is not responsible for such errors.

• The interpretation and application of the Terms are in the sole discretion and determination of Office Depot, which in each case shall be final and conclusive. The laws of the United States and the State of Florida, without regard for its conflicts of law provisions, will govern these Terms, as well as Select Members’ and Office Depot’s observance of them. If a Select Member takes any legal action relating to their use of the Program or the Terms, the Select Member agrees to file such action only in the state and federal courts located in Palm Beach County, Florida. 

• If Office Depot fails to act with respect to a Select Member’s breach, or anyone else's breach, of these Terms on any occasion, Office Depot is not waiving its right to act with respect to future or similar breaches. These Terms, together with those items made a part of these Terms by reference, make up the entire agreement between the Select Member and Office Depot relating to the Program, and replace any prior understandings or agreements (whether oral or written) regarding the Program. If a court finds any of the Terms to be unenforceable or invalid, such Terms will be enforced to the fullest extent permitted by applicable law and the other Terms will remain valid and enforceable. The Program is void where prohibited by law.

OFFICE DEPOT IS PROVIDING THIS SITE AND ITS CONTENTS ON AN "AS IS" BASIS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OR CONDITIONS OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALTHOUGH OFFICE DEPOT BELIEVES THE CONTENT TO BE ACCURATE, COMPLETE, AND CURRENT, OFFICE DEPOT DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE ON THIS SITE IS ACCURATE, COMPLETE, OR CURRENT. Price and availability information is subject to change without notice.

IN NO EVENT SHALL OFFICE DEPOT BE LIABLE FOR SPECIAL, INDIRECT, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER (COLLECTIVELY, "DAMAGES"), INCLUDING BUT NOT LIMITED TO, LOSS OF USE, DATA, OR PROFITS, WITHOUT REGARD TO THE FORM OF ANY ACTION, INCLUDING BUT NOT LIMITED TO CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTIONS, ALL ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS PROGRAM. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART AND THE FOREGOING PARAGRAPH SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF OFFICE DEPOT'S NEGLIGENT, FRAUDULENT, OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT.
