CUSTOMER RATINGS AND REVIEWS TERMS AND CONDITIONS

These Terms and Conditions, Office Depot’s Terms of Use and Privacy Policy ("Terms") govern your conduct associated with the Customer Ratings and Review service offered by Office Depot (the "CRR Service") on the officedepot.com website (the "Site").

By submitting any content to Office Depot, you represent and warrant that:

• you are the sole author and owner of the content created by you and any intellectual property rights thereto;
• all "moral rights" that you may have in such content have been voluntarily waived by you;
• all content that you post is accurate;
• you are at least 13 years old; and that
• use of the content you supply does not violate these Terms and Conditions and will not cause injury to any person or entity.

You further agree and warrant that you shall not submit any content:

• that is known by you to be false, inaccurate or misleading;
• that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
• that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
• for which you were compensated or granted any consideration by any third party;
• that includes any information that references other websites, addresses, email addresses, contact information or phone numbers; or
• that contains any computer viruses, worms or other potentially damaging computer programs or files.

You agree to indemnify and hold Office Depot (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers, including but not limited to Bazaarvoice, Inc.), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, including reasonable attorneys' fees, costs, expenses or damages arising out of or related to a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

For any content that you submit, you grant Office Depot a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

All content that you submit becomes the sole property of Office Depot and may be used at Office Depot's sole discretion. Office Depot reserves the right to change, condense or delete any content on the Office Depot website that Office Depot deems, in its sole discretion, to violate the content guidelines or any other provision of these Terms. Office Depot does not guarantee that you will have any recourse through Office Depot to edit or delete any content you have submitted. Ratings and written comments are generally posted within two to four business days. However, Office Depot reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not Office Depot, are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidence on the part of Office Depot, its agents, subsidiaries, affiliates, partners or third party service providers and their respective directors, officers and employees.

By submitting your email address in connection with your rating and review, you agree that Office Depot and its third party service providers may use your email address to:

• contact you about the status of your review and other administrative purposes

REVISIONS AND TERMINATION
By participating in the CRR Service, you consent to these Terms. Any changes to the Terms will be effective immediately upon posting at officedepot.com. Office Depot may, in its sole discretion, modify, terminate or suspend your access to the CRR Service for any reason, including, without limitation, breach of these Terms. In the event the CRR Service is terminated, the restrictions regarding content submitted by you, and the representations and warranties, indemnities, and limitations of liabilities set forth in these Terms will survive termination. In the event that you are unsatisfied with the CRR Service provided by Office Depot, your sole remedy is to terminate your use of the CRR Service our use of the Site.

GENERAL
Office Depot assumes no responsibility for errors. While Office Depot makes every effort to provide accurate information, inaccuracies or errors may occur. Office Depot is not responsible for such errors. Office Depot reserves the right to make changes, corrections, and/or improvements to the information contained on this Site and to the products and programs described in such information, at any time without notice. The interpretation and application of the Terms are in the sole discretion and determination of Office Depot, which in each case shall be final and conclusive. The laws of the State of Florida, without regard to its conflict of laws rules, will govern the Terms, as well as your and Office Depot’s observance of them. If you take any legal action relating to your use of the CRR Service or the Terms, you agree to file such action only in the state and federal courts located in Palm Beach County, Florida. If Office Depot fails to act with respect to your breach or anyone elses breach on any occasion, Office Depot is not waiving its right to act with respect to future or similar breaches. These Terms, together with those items made a part of these Terms by reference, make up the entire agreement between you and Office Depot relating to the Program, and replaces any prior understandings or agreements (whether oral or written) regarding the CRR Service. If a court finds any of the Terms to be unenforceable or invalid, such Terms will be enforced to the fullest extent permitted by applicable law and the other Terms will remain valid and enforceable. The Program is void where prohibited by law.
